These Terms (the “Terms”) describe the basis on which Quaker Sugar Co., Inc. and its affiliates (“Quaker,” “We” or “Us”) offer access to pages of Quaker’s website (currently located at www.quakersugar.com) (the “Site”) to persons who visit the Site (“you”). If you do not agree to them, do not use the Site or download any Materials from it.

ACCEPTANCE OF TERMS.

  1. By registering for, accessing and/or using the Site in any manner, at any time or for any reason, including but not limited to visiting or browsing the Site, you agree to and accept these Terms and all other operating rules, policies and procedures that may be published from time to time on the Site by Quaker, each of which is incorporated by reference and each of which may be updated from time to time without notice to you.
  2. Certain of the services offered on the Site may be subject to additional terms and conditions specified by us from time to time; your use of such services is subject to those additional terms and conditions, which are incorporated into these Terms by this reference.
  3. If you do not agree to all of the terms and conditions set forth in the Terms, you may not access, browse and/or use the Site or download any Materials from it. 
  4. These Terms apply to your access to and use of the Site and do not alter in any way the terms and conditions of any other agreement you may have with Quaker, unless otherwise directed by Quaker. 
  5. If you breach any of these terms and conditions, your authorization to use the Site automatically terminates.
  6. These Terms apply to all users of the Site, including, without limitation, registered and unregistered users.

RULES OF CONDUCT

  1. As a condition of use, you promise not to use the Site for any purpose that is prohibited by these Terms. You are responsible for all of your activity in connection with the Site.
  2. You shall not: (i) take any action that imposes or may impose (as determined by us in our sole discretion) an unreasonable or disproportionately large load on our (or our third party providers’) infrastructure; (ii) interfere or attempt to interfere with the proper working of the Site or any activities conducted on the Site; (iii) bypass, circumvent or attempt to bypass or circumvent any measures we may use to prevent or restrict access to the Site (or other accounts, computer systems or networks connected to the Site); (iv) run any form of auto-responder or “spam” on the Site; (v) use manual or automated software, devices, or other processes to “crawl” or “spider” any page of the Site; (vi) harvest or scrape any Content from the Site; (vii) distribute information you know is false, misleading, untruthful, unlawful, or inaccurate, (viii) upload any software viruses or any other computer codes, files, or programs that are designed or intended to disrupt, damage, limit or interfere with the proper function of any software, hardware, or telecommunications equipment or to damage or obtain unauthorized access to any system, data, password or other information of ours or of any third party; or (ix) otherwise take any action in violation of our guidelines and policies.
  3. You shall not (directly or indirectly): (i) decipher, decompile, disassemble, reverse engineer or otherwise attempt to derive any source code or underlying ideas or algorithms of any part of the Site (including without limitation any application), except to the limited extent applicable laws specifically prohibit such restriction, (ii) modify, translate, or otherwise create derivative works of any part of the Site, or (iii) copy, rent, lease, distribute, or otherwise transfer any of the rights that you receive hereunder. You shall abide by all applicable local, state, national and international laws and regulations.
  4. We also reserve the right to access, read, preserve, and disclose any information as we reasonably believe is necessary to (i) satisfy any applicable law, regulation, legal process or governmental request, (ii) enforce these Terms, including investigation of potential violations hereof, (iii) detect, prevent, or otherwise address fraud, security or technical issues, (iv) respond to user support requests, or (v) protect the rights, property or safety of us, our users and the public.

MATERIALS AND LICENSE; THIRD PARTY CONTENT

The materials (including all content, information, Quaker’s domain name, the Quaker logo, any marks appearing on the Site, and configurations, displays, screens appearing on or displayed in connection with the Site) (collectively, the “Materials”) are provided by Quaker as a service to its customers and may be used for informational purposes only. The Materials on the Site are copyrighted and/or are protected by trademark and other laws. Any unauthorized use of any Materials may violate copyright, trademark, and other laws. Quaker may make changes to these Materials, or to the products described therein, at any time without notice. Quaker makes no commitment to update the Materials. 

The Materials are provided with “RESTRICTED RIGHTS.” Use, duplication, or disclosure by the Government is subject to restrictions as set forth in FAR52.227-14 and DFAR252.227-7013 et seq. or its successor. Use of the Materials by the Government constitutes acknowledgment of Quaker’s proprietary rights in them.

To the maximum extent legally possible, you agree that you will not directly or indirectly copy, publish, reproduce, distribute, display or transfer any or all of the Materials, whether electronically, mechanically, or otherwise, in any form (including the copying of presentation style, content, or content organization) without the prior written permission from Quaker; provided, however, that you may download one copy of the Materials found on the Site on a single computer for your internal use only unless specifically licensed to do otherwise by Quaker. This is a license, not a transfer of title, and is subject to the following restrictions: you may not: (a) modify the Materials or use them for any commercial purpose, or any public display, performance, sale or rental; (b) remove any copyright or other proprietary notices from the Materials; (c) transfer the Materials to another person; (d) except as specifically provided above, copy, reproduce, modify, publish, upload, post, transmit, or distribute any of the Materials in any way, without Quaker’s prior written permission. You agree that you will not frame or link to the Site without our express prior approval. Except as expressly provided herein, Quaker and its suppliers do not grant any express or implied right to you under any intellectual property or information rights. Quaker may terminate this license at any time. Upon termination, you must immediately destroy the Materials.

You acknowledge that a portion of the Materials constitutes content and substantive information, including news articles, industry, or other information, data, text, graphics, messages, communications, photographs, images, illustrations, audio clips, and/or video clips (collectively, the “Content”). You understand that to the extent that Quaker did not originate or create such Content, the Content provided is not the responsibility of Quaker, but rather of the person from which such Content originated or which created the Content. ALL CONTENT, WHETHER ORIGINATING WITH OR CREATED BY Quaker OR OTHERWISE, IS PROVIDED “AS IS” AND WITH ALL FAULTS AND QUAKER SHALL HAVE NO RESPONSIBILITY OR LIABILITY THEREOF. Without limiting the foregoing, Quaker does not represent or endorse the accuracy or reliability of any advice, opinion, statement, or other information displayed, uploaded, or distributed through the Services by any user, information provider, or any other person or entity. You acknowledge that any reliance upon any such opinion, advice, statement, or information shall be at your sole risk. Under no circumstances will Quaker be liable in any way for any Content, including, but not limited to, for any errors or omissions in any Content, or for any loss or damage of any kind incurred as a result of the use of any Content. Certain Content is furnished by various news organizations or news publishers; neither Quaker nor any such organizations or publishers will be liable for any delays, inaccuracies, errors, or omissions in any such Content, or in the transmission or delivery of all or any part thereof, or for any damages arising therefrom. Customer agrees to respect, and not in any way to violate, such third-party rights. Quaker’s trademarks may be used publicly only with permission from Quaker. Fair use of Quaker’s trademarks in advertising and promotion of Quaker products requires proper acknowledgement.

TERMINATION

Quaker may terminate these Terms as to your use at any time with or without cause, and may refuse to provide you or any other customer with access to the Site at any time, at its sole discretion. Any such termination shall end the license described above. However, in the case of any termination, you agree to continue to abide by these Terms, which shall remain in full force and effect after such termination, except that your right to use the Site shall be terminated.

EXCULPATION; LIMITATION OF LIABILITY

YOU ACKNOWLEDGE THAT WE DO NOT REPRESENT THAT THE INFORMATION CONTAINED ON THE SITE (INCLUDING PRODUCT OR SERVICE DESCRIPTIONS) IS ACCURATE OR COMPLETE.
